THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO.2026-697 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
AUGUST 11, 2026:
RESOLVED that the Town Board of the Town of Southold hereby authorizes Deputy
Supervisor,John Stype,to sign and execute the 2027-2028 two-year(with two (1)year mutual
options to extend) contractual agreement between the Town of Southold and Waste Zero for the
supply of Town Garbage Bags,pursuant to their submitted proposal of a 5% increase on August
7,2026 subject to the approval of the Town Attorney,Budget Line SR 8160 541860

Extension of Agreement between
WasteZero, Inc. and
Southold, NY
This Extension of the WasteZero Su lies and Services Agement (this "Extension") is made
and entered into this the day of Au ust 2026 e "Effective Date"), by and
between WasteZero, Inc., a Delaware corporation, hereinafter referred to as "WasteZero", and Town of
Southold, NY hereinafter referred to as "Municipality".
WITNESSETH
Pursuant to the "mutual option" clause of the Town of Southold's bid specifications for plastic
garbage bags issued in October 2021, and to the bid response submitted by WasteZero thereto and
accepted by the Southold Town Board on October 19, 2021, the Parties wish to extend its agreement
through December 31, 2028, under the same terms and conditions, at the prices submitted in the bid; and
WHEREAS, Municipality has been generally satisfied with WasteZero's performance under the
Agreement and/or the parties have been able to work through any issues that have arisen to each parry's
respective and mutual satisfaction; and
WHEREAS, the current Term expires December 31, 2026, and the Parties mutually agree to
renew and extend the Agreement with this Extension under the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the foregoing, the mutual covenants and agreements
set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the parties hereby agree as follows:
1. Integration. Except as specifically set forth in this Extension, all provisions of the Agreement
are incorporated by reference as if set forth in full herein, reaffirmed and remain in full force and
effect. All capitalized terms set forth herein have the same meaning as defined in the
Agreement.
2. Extension Term. WasteZero and the Municipality mutually agree to the Extension Term
that will begin on January 1, 2027 and end on December 31, 2028. Upon expiration of the
Extension Term, and upon mutual agreement, the term of the Agreement may be renewed
for an additional one (1) year"Extension Term"..
3. WZ Supplies and Services Fee. During the Extension Terms, the WZ Supplies and
Services Fee (per Case) will be:
