DECLARATION OF COVENANTS AND RESTRICTIONS
THIS DECLARATION made this 26th day of August,2020, by 6500 Main Rd. East
Marion, LLC, a limited liability company with offices located at 9 West 571h Street, Suite 4500,
New York,New York 10019, hereinafter referred to as the DECLARANT, as the owner of the
premises described in Schedule"A"annexed hereto (hereinafter referred to as the PREMISES)
desires to restrict the use and enjoyment of said PREMISES and has for such purposes
determined to impose on said PREMISES covenants and restrictions and does hereby declare
that said PREMISES shall be held and shall be conveyed subject to the following covenants and
restrictions:
1. DECLARANT has made application to the Suffolk County Department of Health
Services (hereinafter referred to as the DEPARTMENT)for approval of a subdivision or
development on the PREMISES.
2. As a condition of approval by the DEPARTMENT of the subdivision or development
application,the DECLARANT covenants that there shall be no conveyance of any lot
unless a permanent and perpetual easement that runs with the land, in accordance with
the plan on file with the DEPARTMENT, is provided for simultaneously upon
conveyance. The easement shall allow for access and for the purpose of placement,
installation, maintenance,repair, inspection, and replacement of the water lines. The cost
of installation,maintenance, and repair of said water line and to restore the area to its
original condition after installation,maintenance,repair, inspection, and replacement of
such service utility shall be borne solely by the party,their heirs, successors and/or
assigns,which shall be granted the easement. Such easement shall be in conformance
with the prior approval plan on file with the DEPARTMENT and in such form as
acceptable to the DEPARTMENT.
a. As a further condition for approval of the DEPARTMENT,of such
subdivision or development application,the DECLARANT agrees that there
shall be no further division of any of the lots on the PREMISES described
herein, and that said lots shall remain as shown on the subdivision or
development map approved by the DEPARTMENT.
3. The DECLARANT,its successors and/or assigns shall set forth these covenants,
agreements,and declarations in any and all leases to occupants,tenants and/or lessees of
the above described PREMISES and shall,by their terms,subject same to the covenants
and restrictions contained herein. Failure of the DECLARANT,its successors and/or
assigns to so condition the leases shall not invalidate their automatic subjugation to the
covenants and restrictions.
4. All of the covenants and restrictions contained herein shall be construed to be in addition
to and not in derogation or limitation upon any provisions of local,state,and federal
laws, ordinances, and/or regulations in effect at the time of execution of this agreement,
or at the time such laws,ordinances,and/or regulations may thereafter be revised,
amended,or promulgated.
5. This document is made subject to the provisions of all laws required by law or by their
provisions to be incorporated herein and they are deemed to be incorporated herein and
made a part hereof, as though fully set forth.
6. The aforementioned Restrictive Covenants shall be enforceable by the County of Suffolk,
State of New York,by injunctive relief or by any other remedy in equity or at law. The
failure of any agencies or departments of the County of Suffolk,the DEPARTMENT,or
the County of Suffolk to enforce the same shall not be deemed to affect the validity of
this covenant nor to impose any liability whatsoever upon the County of Suffolk or any
officer,or employee thereof.
7. These covenants and restrictions shall run with the land and shall be binding upon the
DECLARANT, its successors and assigns, and upon all persons or entities claiming
under them,and may be terminated,revoked,or amended only with the written consent
of the DEPARTMENT.
8. .If any section, subsection,paragraph,clause,phrase or provision of these covenants and
restrictions shall, by a Court of competent jurisdiction,be adjudged illegal,unlawful,
invalid,or held to be unconstitutional,the same shall not affect the validity of these
covenants as a whole,or any other part or provision hereof other than the part so
adjudged to be illegal,unlawful,invalid,or unconstitutional.
9. Local Law#32-1980—The DECLARANT represents and warrants that he has not
offered or given any gratuity to any official,employee,or agent of Suffolk County,New
York State,or of any political party,with the purpose or intent of securing favorable
treatment with respect to the performance of an agreement,and that such person has read

DECLARATION OF COVENANTS AND RESTRICTIONS
DECLARATION made this 5 day of OC-f 6 209A by 6500 Main Rd East
Marion LLC, a limited liability company, with offices located at 9 West 57th Street, Suite 4500,
New York,New York 10019,hereinafter referred to as the DECLARANT.
WITNESSETH:
WHEREAS, the Declarant is the owner of certain real property situate 518 feet west of
Gillette Drive on the south side of State Route 25 in East Marion,Town of Southold, County of
Suffolk, State of New York, more particularly bounded and described in Schedule"A"annexed
hereto (hereinafter referred to as the Property); and
WHEREAS,the Declarant has made an application to the Planning Board of the Town of
Southold to subdivide said real property into three building lots as shown on the Subdivision
Map entitled "Final Plat Map of Colton Acres"prepared by Barrett Bonacci&Van Wheel, PC,
dated May 1,2019 and last revised June 11,2020,to be filed with the Suffolk County Clerk,and
hereinafter referred to as the"Subdivision Map"; and
WHEREAS, for and in consideration of the granting of said subdivision application
shown on the Subdivision Map, and as a condition of granting said approval, the Town of
Southold Planning Board has required that this Declaration be recorded in the Suffolk County
Clerk's Office;and
WHEREAS,the purpose of these covenants is to mitigate environmental and public
health,safety and welfare impacts from the subdivision and development of the subject property,
and to further the goals of the Town's Comprehensive Plan; and
WHEREAS,the Subdivision Map contains a 25 foot-wide right of way named"Colton
Acres Court", which provides a common access of ingress and egress for Lots I,2 and 3,and /
more particularly bounded and described in Schedule`B';and ✓
WHEREAS,the Town Planning Board's subdivision approval includes a four page plan
entitled"Final Plat Colton Acres,Road&Drainage Plan",prepared by Barrett Bonacci& Van
Wheel, PC, dated May 1,2019 and last revised June 11,2020 and hereinafter referred to as the
"Final Road&Drainage Plan",upon which are stated the specifications for the aforementioned
right of way and related storm-water drainage controls and other specific requirements;and
WHEREAS,the DECLARANTS desire to provide for maintenance and management of
the aforementioned right of way;and
WHEREAS,pursuant to Town Code§280-97 Right 10 farm,the Town of Southold has
determined that farming is an essential activity within the Town,and that farmers shall have the
right to farm in Southold without undue interference from adjacent landowners or users. For the
purpose of reducing future conflicts between people residing on tracts adjacent to farmlands and
fanners, it is necessary to establish and give notice of the nature of the farming activities to
future neighbors of farmland and fanning activities;and
WHEREAS,the DECLARANT has considered the foregoing and has determined that the
same will be for the best interests of the DECLARANT and subsequent owners of the Property.
NOW,THEREFORE,THIS DECLARATION WITNESSETH:
That the DECLARANT for the purpose of carrying out the intentions above expressed,
does hereby make known,admit,publish,covenant and agree that the Property herein described
shall hereafter be subject to the covenants and restrictions as herein cited,to wit:

1. There shall be no further subdivision of any of the lots shown on the aforesaid Subdivision
Map resulting in additional building lots. In addition, no lot lines shall be modified unless
authorized by resolution of the Southold Town Planning Board.
2. Septic systems/wastewater treatment systems:
Traditional septic systems are not permitted to be used on the lots in this subdivision. The use
of an innovative/alternative wastewater treatment system(1/A OWTS), as permitted under
Suffolk County Department of Health Services' Article 19,or future technology that
accomplishes the goal of reducing or removing pollutants from wastewater effluent as well
as,or better than the I/A OWTS systems referenced above, is required for all lots shown on
the Subdivision Map.
3. Right of Way Access and Maintenance Requirements
The owners of Lots 1,2 and 3,shall share a private right of way as shown on the Subdivision
Map and described in more detail on the Final Road&Drainage Plan.Each of the aforesaid
lots contains a portion of the right of way.The said right of way is more particularly bounded
and described in Schedule"B"and hereinafter referred to as the"Right of Way".
Upon the initial sale of each lot(Lots 1,2 and 3), an access easement, including the.specif c
maintenance requirements in subparagraphs(a)through(i)below, is required to be filed in
the Office of the Suffolk County Clerk granting access for that lot over the Right of Way and
specifying the maintenance responsibilities for each lot. Proof of filing shall be submitted to
the Southold Town Planning Board office.

The use of the Right of Way shall be subject to the following terms and conditions:
a. The owners of Lots 1,2,and 3 shall have the joint,equal and mutual right to use,
maintain and improve the Right of Way as shown on the Subdivision Map and Final
Road &Drainage Plan for the purpose of ingress and egress to their respective lots to
and from State Route 25.
b. The terms"owner,""lot owner"or"lot owners"as used in this Declaration shall be
deemed to include any heirs,distributees,successors and assigns of the Declarant and
the respective lot owner or lot owners of Lots 1,2 and 3.
c. The word"maintenance,"as used in this section, shall be deemed to mean all costs
and expenses in connection with the Right of Way, including the maintenance or
replacement of the Right of Way, installation of common underground utilities,
maintenance and replacement thereof,snow plowing,sweeping,surfacing and re-
surfacing,re-paving or re-gravelling,filling in of holes,and all those items necessary
to make it convenient and safe for the owners of the aforesaid subject lots to use.
d. Maintenance shall also include the cost and expense to maintain the evergreen buffer
shown on the Road and Drainage Plan in good condition.The evergreen buffer
consists of a single row of evergreens planted along the entirety of the western
property line of the Right of Way between Lot I and State Route 25,as shown on the
Road and Drainage Plan.The purpose of the buffer is to provide screening and limit
disturbance to the westerly adjacent residential lot.No evergreens may be removed,
except in the case of trees that are dead or diseased and are a safety hazard,and only
after submitting an arborists report to the Planning Board and the Planning Board

issuing their approval in writing to remove the tree,and approval of the proposed
replacement evergreen. Evergreens must be replaced within six months.The
evergreen buffer may be modified or removed with the mutual written agreement of
the lot owners of the Subdivision Map and the lot owner of the parcel to which the
buffer is adjacent,and the written approval of the Planning Board.
e. The owners of the subject lots or any portion thereof shall determine what
maintenance shall be done on the Right of Way and the maintenance costs to be
expended therefore by mutual agreement.
f. All decisions for the maintenance of the Right of Way shall be made by a majority
vote of the lot owners affected herein. Proxy votes shall not be acceptable.There shall
be(1) one vote per subject lot.Any lot owner may initiate a vote on any maintenance
or improvement matter by sending a notice by certified mail, return receipt requested,
to the other lot owners.Said notice shall contain all information necessary to make an
informed decision on the matter.Any lot owner not voting, in writing,affirmatively
or negatively within sixty(60)days of the mailing of that notice shall be bound by the
decision of those who do vote.A tie vote shall be considered approval of the
proposition. .
g. All lot owners agree that the Right of Way shall always be maintained,at a minimum,
to the specifications shown on the Final Road&Drainage Plan,and so as to be
passable by ordinary passenger, service and emergency vehicles.This shall include
prompt repair of any"potholes"or similar defects which cause the Right of Way to
become substandard.The Right of Way will be kept clear of vegetation or other
obstructions as required by applicable regulations.Each lot owner shall be

responsible for any damage to the Right of Way caused by construction or
transportation activities and vehicles relating to the improvement of their subject lot
in accordance with subparagraph(i)below.
h. All lot owners agree that the storm-water drainage systems for the Right of Way shall
always be maintained to function as specified on the Final Road&Drainage Plan.
i. In the event one of the lot owners fails to pay their proportionate share of
maintenance costs within(30)thirty days of notification of charges, such unpaid
monies may be collected proportionately from the other lot owners. In this event,all
lot owners having duly paid both their proportionate share of maintenance costs and
that of the defaulting lot owner shall be deemed the contractor as defined in the New
York Lien Law, The lot owner who has not paid his/her proportionate share shall
subject his/her real property to the liens of the lot owners who have paid his/her share
of maintenance costs.The lot owner who has paid his/her proportionate share of
maintenance costs may also commence an action against the defaulting lot owner, in a
court of appropriate jurisdiction,in order recover the unpaid monies. In any action
commenced against a defaulting lot owner,there shall be a presumption that the
maintenance work for which monies are owed was validly authorized by the majority
of the lot owners and was competently performed by the contractor who did the work.
A defaulting lot owner shall be liable for all maintenance costs and expenses,
including but not limited to attorney's fees which are incurred by the other lot owners
in recovering the defaulting lot owner's unpaid share of maintenance costs.
j. Notwithstanding anything to the contrary herein,each and every lot owner shall
repair, at his/her sole cost and expense,any damage done to the Right of Way by

construction traffic or other implements used in the construction of improvements on
the particular lot owner's land.Any failure to make or pay for such repair may be
treated by the other lot owners as a default in the payment of maintenance costs, in
accordance with sub-paragraph(h)above written.
4. The Declarant acknowledges that the lots on the approved Subdivision Map are within 500'
of land in agricultural use.All owners and future owners of said lots are hereby provided
notice of protected farm practices pursuant to the Southold Town Code Farmland Bill of
Rights.Farmers shall have the right to undertake protected farm practices in the active
pursuit of agricultural operations, including, but not limited to: clearing; grading; plowing;
aerial and ground spraying;the use of legal agricultural chemicals(including herbicides,
pesticides and fertilizers);raising horses,poultry, small livestock and cattle;processing and
marketing produce; installing water and soil conservation facilities;utilizing farm crop
protection devices;designing and constructing and using farm structures, including barns,
stables, paddocks,fences,greenhouses and pump houses;using water;pumping; spraying;
pruning and harvesting;disposing of organic wastes on the farm; extensive use of farm
laborers;training and others in the use and care of farm equipment,animals;traveling local
roads in properly marked vehicles;and providing local farm produce markets near farming
areas.
These activities can and do generate dust,smoke,noise, vibration and odor.These activities
may occur on holidays, Sundays and weekends,at night and in the day. Such activities are

presumed to be reasonable.Such activities do not constitute a nuisance unless the activity has
a substantial adverse effect on the public health,safety and welfare.
5. Tree Clearing Timeline Limitations
Prior to receiving building permits and prior to any clearing or grading, contact the New
York State Department of Environmental Conservation Regional Office to determine if a
clearing timeframe must be applied for the protection of the Northern Long-Eared Bats that
may be present in this area and provide the response to the Planning Board and Building
Department for our records.At the time this subdivision was approved,the Northern Long-
Eared Bat and its habitat were federally listed and protected by the U.S. Endangered Species
Act.
6. Clearing Restrictions:
a. Lots 1, 2, and 3 are subject to clearing restrictions.
b. The permissible limit of clearing is as follows;
Lot 1: 26,002 square feet(50% of the lot area),
Lot 2 is 26,002 square feet(50%of the lot area),and
Lot 3 is 27,614 square feet(50%of the lot area).
c. The permissible clearing percentage was based on the lot area excluding the right of
way area for each lot.
d. Existing vegetation shall be preserved in all areas outside the limits of permissible
clearing.

e. Prior to building permits being issued,the clearing limits,and amount of land to be
cleared shall be shown on the survey submitted in the building permit application.
f. Prior to any clearing or grading, the clearing limits and buffers shall be clearly staked
on site and certified by a New York State licensed engineer or surveyor as meeting
the aforementioned clearing limits shown on the Subdivision Map.
g. After clearing and prior to beginning construction,the cleared area must be inspected
by a Town official(either Building,Planning or Engineering Department)to confirm
the cleared area conforms to the approved clearing restrictions.
h. Clearing of trees and vegetation beyond the permitted amount for each lot is not
permitted without prior written approval of a revegetation plan from the Planning
Board.
i. In the event that a lot is cleared beyond the aforementioned permissible limit,the
areas must be revegetated according to a plan approved in writing by the Planning
Board.
7. Vegetated Buffer
a. A 60' foot wide vegetated buffer shall be maintained along the entirety of the rear
yards and westernmost property lines of Lots 1,2 and 3,as shown on the Subdivision
Map and the Road and Drainage Plan with the notation"60' Wide Vegetated
Buffer",and hereinafter referred to as the"Vegetated Buffer". The purpose of the
Vegetated Buffer is to preserve existing trees and allow landscaping with native
species.-

b. Prior to clearing or grading,the limits of the buffers shall be clearly marked with
stakes.
c. Prohibited in the Vegetated Buffer
i. The cutting, removal or disturbance of trees greater than 6"dbh.
ii. Placement of structures, except as permitted below.
iii. Excavation and grading
iv. Removal of soil
v. Dumping of fill or noxious materials
d. Permitted in the Vegetated Buffer
i. Trimming tree limbs up to a height of 15 feet to maintain views of the Long
Island Sound.The extent of the limbing shall be over an area no more than the
width of the single family residence. Trees shall be trimmed in such a way as to
maintain their good health. The topping of trees is not permitted.
ii. The removal of trees in the vegetated buffer is prohibited,except in the case of
« disease or damage that causes the tree to be a threat to human safety.A report
from an arborist must be submitted to the Planning Board for their review and
written approval prior to the removal of the tree(s). Any trees that die or are
removed shall be replaced by the landowner within six months with species
approved by the Planning Board.
iii. Planting of native,drought tolerant vegetation.
iv. Mowing and routine landscape maintenance.
V. Fences

S. Evergreen Buffer
An evergreen buffer is required along the right of way from Route 25 along the length of the
adjacent westerly residential lot as shown on the Subdivision Map. See Section Id.above for
details about the maintenance requirements of this buffer.
9. Storm-water Runoff Management
a. All stormwater management and drainage controls associated with the Right of Way
shall be maintained in working order as shown on the Final Road &Drainage Plan.
Maintenance responsibilities for the buffer plantings are described in more detail in
Section 3 Right of Way Access and Maintenance Requirements of this document
b. All stormwater run-off resulting from the development of the lots on the Subdivision
Map shall be retained on site and shall be the responsibility of each lot owner.
10. Utilities
a. Utilities, including but not limited to electric,gas,telephone,cable and water,must be
located underground.
b. Utility Easement for Electric,Cable,Gas and future Water Service.
Upon the initial sale of each lot,a utility easement over the Right of Way to supply
Lots 1,2 and 3 with utilities must be filed with the Suffolk County Clerk.

11.Street Trees
17 Pin Oak trees are required to be planted and maintained along the property line of Lots 1,
2 and 3,where they meet with Colton Acres Court,as shown on the Road and Drainage Plan.
The developer is responsible to maintain the street trees as shown on the Road and Drainage
Plan in good condition and to replace them in case they are removed for any reason for three
years from the time they are planted.After those three years,each lot owner is responsible to
maintain the street trees on their lot with the same number as shown on the Road and
Drainage Plan, and to replace them in case they are removed for any reason with a species
that has been approved by the Planning Board.
No street trees,as shown on the filed map,may be removed,except in the case of trees that
are dead or diseased and are a safety hazard,and only after submitting an arborists report to
the Planning Board and the Planning Board issuing their approval in writing to remove the
tree. Street trees must be replaced within six months.
12.Landscaping and fertilizer restrictions:
a. The area of irrigation shall be limited to 15%of the total lot area.
b. The use of synthetic fertilizers, herbicides or pesticides on Lots 1-3 is prohibited;
c. The use of native, drought-tolerant plants that are on the list approved by the Planning
Department are required in landscaping said lots.
d. The use of fertilizer products containing nitrogen,phosphorus or potassium is
prohibited between November 1 and April 1.

e. Only organic fertilizers where the water soluble nitrogen is no more than 20%of the
total nitrogen in the mixture may be utilized on the lots.
f. A maximum of 1 pound of nitrogen per 1000 square feet in any one application,with
a cumulative application of no more than 2 pounds per 1,000 square feet per year is
permitted.
g. The use of lawn fertilizer containing phosphorous is prohibited unless establishing a
new lawn or a soil test shows that the lawn does not have enough phosphorus.
13. Underground storage tanks are prohibited, except those with spill, overfill and corrosion
protection requirements in place.
The within Covenants and Restrictions shall run with the land and shall be binding upon
the DECLARANT, its successors and assigns,and upon all persons or entities claiming under
them, and may not be annulled,waived,changed,modified,terminated, revoked, or amended by
the current owner or subsequent owners of the premises unless and until approved by a majority
plus one vote of the Planning Board of the Town of Southold or its successor, following a public
hearing.

If any section, subsection, paragraph, clause, phrase or provision of these covenants and
restrictions shall, by a Court of competent jurisdiction, be adjudged illegal, unlawful, invalid or
held to be unconstitutional, the same shall not affect the validity of these covenants as a whole, or
any other part or provision hereof other than the part so adjudged to be illegal, unlawful, invalid,
or unconstitutional.
The aforementioned covenants and restrictions are intended for the benefit of and shall be
enforceable by the Town of Southold, State of New York, by injunctive relief or by any other
remedy in equity or at law. If a Court of competent jurisdiction determines that a violation of
these covenants and restrictions has occurred, the Declarant shall pay, either directly or by
reimbursement to the Town all reasonable attorney's fees, court costs and other expenses incurred
by the Town in connection with any proceedings to enforce the provisions of the covenants and
restrictions set forth herein. The failure of the Town of Southold or any of its agencies to enforce
same shall not be deemed to affect the validity of this covenant nor to impose any liability whatsoever
upon the Town of Southold or any officer or employee thereof.
