Box 1153 Southold; NY 11971 Re: SCTM # 135-1-5 Dear Mr. McDonald: The following action was taken by the Board of Town Trustees during its regular meeting held on September 28, 1995 regarding the above matter: WHEREAS, applied to the Southold Town Trustees for a permit under the provisions of the Wetland Ordinance of the Town' of Southold, application dated August 11, 1995, and, WHEREAS, said application was referred to the Southold Town Conservation Advisory Council for their findings and recommendations, and WHEREAS, a Public Hearing was held by the Town Trustees with respect to said application on September 28, 1995, at which time all interested persons were given an opportunity to be heard, and, WHEREAS,, the Board members have personally viewed and are familiar with the premises in question and the surrounding area, and, WHEREAS, the Board has considered all the testimony and documentation submitted concerning this application, and, WHEREAS, the structure complies with the standard set forth in Chapter 37-18 of the Southold Town Code, *: WHEREAS, the Board has determined that the project as proposed will not affect the health, safety and general welfare of the people of the town, NOW THEREFORE BE IT, I RESOLVED, that the Board of Trustees approves the application of WILLIAM AND MARK MC DONALD to reconstruct, existing bulkhead blown out by 12/22/94. Embankment must be re-vegetated so the over land flow of water does not result in siltation of surface water. Located 21515 Soundview Ave. , Southold. Permit to construct project will. expire two years from the date it is signed if not started. Fees must be paid, if applicable, and permit issued within six months of the date of this notification. McDONALD ("McDONALD" or "Grantee" ) , residing at 21515 Soundview Avenue, Southold, New York, CLIFFORD H. UTZ, JR. ("UTZ" ) , residing at -Clark Road, Southold, New York, FRANK MAGNO and MARIE MAGNO, his wife ( "MAGNO" ) , residing at Clark Road, Southold, New York, HARRY BAIS and KATHERINE BAIS, his wife ("BAIS") , residing at Clark Road, Southold, New York, and JOHN PARASKOS ("PARASKOS") , residing at Southold, New York, , as sole beneficiary under the Last Will & Testament of Aristide J. Paraskos,, dated July 18, 1989, who died a resident of Kings County, New York, on January 23, 1990, which Will was admitted to probate in Kings County on October 11, 1990, Ionna Paraskos, the wife of Aristide J. Paraskos, predeceased him, (UTZ, MAGNO, BAIS and PARASKOS are collectively referred to as "Grantors") ; WHEREAS, McDONALD is. a fee owner of certain real property located off Soundview Avenue, Southold, New York, which is adjacent to a certain right of way to the waterfront ("ROW") , said ROW being designated as Suffolk County Tax Map No. 1000-135-1-4; and WHEREAS, the ROW requires bulkheading and debris removal to protect both it and McDONALD' s adjacent property; and 1 a , WHEREAS, McDONALD is willing to pay for the bulkheading and debris removal in exchange for the Grantors ' ownership interest in the ROW; NOW, THEREFORE, in consideration of the mutual premises and undertakings set forth herein, it is stipulated and agreed as follows : 1 . Simultaneously with the execution of this Agreement, the Grantors shall each execute and deliver to McDONALD individual deeds conveying to him each of the Grantor' s. right, title and interest in and to the fee simple in the ROW, together with other documents necessary to record said deeds. From the date of said delivery, the Grantors shall have no ownership interest in and to the ROW, but each shall continue to have the right to travel over the , ROW by foot to the beach as set forth in the deeds to the Grantors ' adjoining residential properties. 2 . McDONALD shall install bulkheading on the ROW and perform debris removal on the ROW, at his sole cost and expense, as same shall be deemed, necessary or desirable in McDONALD' s sole discretion. 3 . McDONALD shall sign a permit application which allows the Grantors, or any of them, to install stairs on the ROW down to the beach, should any of the Grantors so desire . 4 . (a) This Agreement and all the obligations and covenants hereunder shall bind, and shall inure to the 2 n benefit of, the parties hereto, their heirs, executors, administrators, legal representatives and assigns. (b) No modifications, rescission or amendment to this Agreement shall be effective unless in writing signed by the parties hereto. (c) The failure of any party to insist upon such strict performance of any of the provisions of this Agreement shall not be construed as a waiver of any subsequent default of the same or similar nature. (d) This Agreement and its provisions merge any prior agreements, if any, of the parties and is the complete and entire agreement of the parties . (e) This Agreement shall be construed and governed in accordance with the laws of the State of New York. (f) Each of the parties hereto, without cost to the other, shall at any time and from time to time hereafter execute and deliver any and all further instruments and assurances and perform any acts that the other party may reasonably request for the purpose of giving full force and effect to the provisions of this Agreement . (g) The parties acknowledge that they are entering into this Agreement freely and voluntarily; that they have ascertained and weighed all the facts and circumstances likely to influence their judgment herein; that all the provisions hereof, as well as all questions pertaining thereto, have been fully and satisfactorily explained to them; that they have given due consideration to such 3 provisions and questions, and that they clearly understand and assent to all the provisions thereof, and that they have read this Agreement in its entirety prior to the signing thereof .
